Cancellation Policy

Terms & Conditions – 60-Day Availability Retainer 1. Nature of Engagement This Engagement Agreement secures Joseph S. Miller, Esq. (“Attorney”) as your ("Client") legal counsel for a fixed 60-day availability period, beginning on the date of the first session. Client funds will be held in Attorney's IOLTA account until earned. Engagement is exclusively for availability, not a guarantee of outcome. 2. Scope of Services During the 60-day term, you are entitled to the following: - Two (2) strategy sessions via Zoom (up to 60 minutes each). - Review or drafting of up to two (2) contracts. - Drafting and sending of one (1) demand letter. - A customized “Founder Legal Blueprint” PDF. - Unlimited email availability (reasonable use; substantive requests may be scheduled for a call or billed separately if beyond scope). - A legal audit of your website and onboarding flow. 3. Excluded Services This retainer does not cover litigation, court appearances, regulatory filings, or services outside the agreed scope. Any additional work requires a separate agreement. 4. Fee Structure & Refunds Standard rate: $5,598 (Founding Client discounted rate: $2,497). The fee is earned pro rata daily during the 60-day term. If you cancel before Day 60, you will receive a refund of $41.62 for each unused day. No refunds after Day 60, whether or not Client has availed themselves of all services included within the Scope. 5. Client Responsibilities You agree to provide timely information, documents, and instructions. Delays caused by your inaction may reduce the value you receive but will not extend or pause the 60-day term. 6. Communication Email is the primary mode of communication. Strategy sessions are scheduled through the Attorney’s calendar system. Priority turnaround applies, but Attorney cannot guarantee same-day completion of all tasks. 7. Confidentiality All communications and documents are protected by attorney-client privilege to the fullest extent permitted by law. 8. Termination You may terminate at any time in writing. Attorney may terminate for non-cooperation, conflicts of interest, or other ethical reasons, subject to refund of unused days. 9. Governing Law This agreement is governed by the laws of the District of Columbia and New York, where Client is located.

Minimum Fee

For flat rate and hourly legal services, Client fees will be held in the Law Office’s trust (IOLTA) account until earned in accordance with the retainer agreement Client and Law Office staff will sign before representation can begin. For digital products, fees are earned upon delivery of the digital product to the Client. Fees are deemed earned upon delivery and will be transferred from the trust account on the day of service or delivery. For example, a one-hour meeting billed at $297 will go into the Client's trust account on the day of booking. However, the Law Office will not receive the disbursement until the session has ended, on the day that service was rendered. For digital products, Client payments will go to the IOLTA account first and transferred from the IOLTA account, to the Law Office operating account, on the same day. The Client is entitled to a full-refund until no less than 24 hours prior to the scheduled service. If the Client has signed this retainer agreement but either fails to attend the session, or cancels without rescheduling at least 24 hours in advance, the Law Office may retain a $125.00 minimum fee and shall return the remaining balance to the Client.
